2.2 Service Delivery
Specific deliverables, timelines, and terms for each service engagement will be outlined in a separate Service Agreement or Statement of Work. These documents, when signed, become part of these Terms.
2.3 No Guarantee of Results
While we employ industry best practices and proven strategies, we cannot guarantee specific results such as search engine rankings, traffic increases, or revenue growth. Digital marketing results depend on numerous factors beyond our control, including market conditions, competition, algorithm changes, and client cooperation.
Client Portal
3.1 Account Registration
To access our Client Portal, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
3.2 Portal Features
The Client Portal provides access to:
- Project management and progress tracking
- Real-time communication with your project team
- Document sharing and file storage
- Invoice viewing and payment processing
- Performance reports and analytics dashboards
- Support ticket submission and tracking
3.3 Account Security
You agree to immediately notify us of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to protect your account credentials.
3.4 Account Termination
We reserve the right to suspend or terminate your portal access at any time for violations of these Terms, non-payment, or any conduct that we determine to be harmful to our services or other users.
Mobile Application
4.1 License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Lead Marketing Strategies mobile application ("App") on mobile devices that you own or control, solely for your personal or business use in connection with our services.
4.2 App Features
Our mobile application provides:
- Access to your Client Portal dashboard
- Real-time project notifications and updates
- Direct messaging with your project team
- Free marketing analysis tools
- Appointment scheduling and booking
- Invoice management and payments
- Push notifications for important updates
4.3 Restrictions
You agree not to:
- Copy, modify, or distribute the App
- Reverse engineer, decompile, or disassemble the App
- Rent, lease, or lend the App to third parties
- Use the App for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the App's functionality
4.4 Updates and Availability
We may release updates to the App from time to time. Some updates may be required for continued use. We do not guarantee that the App will always be available or function without interruption.

The App may integrate with third-party services (Apple App Store, Google Play Store, payment processors). Your use of these services is subject to their respective terms and conditions.
Free Tools and Resources
5.1 Website Grader Tool
Our Website Grader provides automated analysis of website performance, SEO factors, mobile responsiveness, and security. Results are based on publicly available data and automated assessments at a specific point in time.

- Scores and recommendations are automatically generated
- We do not guarantee the accuracy or completeness of results
- Results should not be solely relied upon for business decisions
5.2 Domain Availability Checker
Our Domain Checker queries domain registrar databases to check availability. Results reflect availability at the time of the query and may change rapidly. We are not responsible for domains becoming unavailable between checking and registration.
5.3 Social Media Handle Checker
This tool checks username availability across multiple social media platforms. Results are based on API queries and public availability checks. Platform policies and availability may change without notice.
5.4 Tool Limitations
All free tools are provided "as is" without warranties of any kind. We reserve the right to modify, suspend, or discontinue any tool at any time without notice. Usage may be subject to rate limits or restrictions to prevent abuse.
5.5 Data Collection

Booking and Scheduling
6.1 Meeting Scheduling
Our booking widget allows you to schedule consultations and meetings with our team. By booking a meeting, you agree to:

- Provide at least 24 hours notice for cancellations or rescheduling
- Conduct yourself professionally during all interactions
6.2 Cancellation Policy

Consultations are for informational purposes. Any strategies or recommendations discussed during meetings do not constitute a service agreement and are not guaranteed until a formal contract is executed.
Payments and Billing
7.1 Pricing and Fees
Service fees are outlined in your individual Service Agreement. We reserve the right to modify our pricing at any time, with notice provided before the next billing cycle for ongoing services.
7.2 Payment Methods
We accept payment via credit card, debit card, ACH bank transfer, and other methods as specified. All payment processing is handled by secure third-party payment processors.
7.3 Billing Cycle
Unless otherwise specified in your Service Agreement:
- Monthly services are billed in advance on the same date each month
- Project-based work may require deposits or milestone payments
- Invoices are due within 15 days of issuance unless otherwise agreed
7.4 Late Payments
Payments not received within 15 days of the due date may incur a late fee of 1.5% per month. We reserve the right to suspend services for accounts more than 30 days past due.
7.5 Refund Policy
Due to the nature of digital marketing services:
- Setup fees and completed work are non-refundable
- Unused prepaid services may be refunded on a prorated basis at our discretion
- Refund requests must be submitted in writing within 30 days
7.6 Taxes
Prices do not include applicable taxes. You are responsible for all taxes, duties, and government fees associated with your purchase of services.
Intellectual Property Rights
8.1 Our Intellectual Property
All content, features, and functionality of our website, portal, App, and tools—including but not limited to text, graphics, logos, icons, images, software, and source code—are owned by Lead Marketing Strategies and protected by copyright, trademark, and other intellectual property laws.
8.2 Client Deliverables
Upon full payment, you will own the final deliverables created specifically for you (such as website designs, logos, and custom content). We retain ownership of:
- Proprietary tools, templates, and methodologies used in creating deliverables
- Pre-existing materials incorporated into deliverables
- General concepts, techniques, and know-how developed during the engagement
8.3 Portfolio Rights
We reserve the right to display and link to your completed project as part of our portfolio and promotional materials, unless you request otherwise in writing.
8.4 License to User Content
By uploading content to our platforms (portal, App), you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content to provide our services to you.
User Conduct
9.1 Acceptable Use
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Upload or transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to our systems or user accounts
- Engage in any activity that disrupts or interferes with our services
- Use automated systems (bots, scrapers) to access our services without permission
- Impersonate any person or entity or misrepresent your affiliation
- Collect or harvest personal information of other users
- Use our services to send spam or unsolicited communications
9.2 Content Standards
Any content you provide or upload must not:
- Be defamatory, obscene, or offensive
- Infringe on intellectual property rights of others
- Contain illegal content or promote illegal activities
- Contain false or misleading information
Limitation of Liability

10.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEAD MARKETING STRATEGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.
10.3 Maximum Liability
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the greatest extent permitted by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Lead Marketing Strategies, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

- Your violation of these Terms

Termination
12.1 Termination by You
You may terminate your account and stop using our services at any time by providing written notice. Termination does not relieve you of any payment obligations for services already rendered.
12.2 Termination by Us
We may suspend or terminate your access to our services immediately, without notice, for:

- Non-payment of fees
- Conduct that we determine harms our business or other users
- Requests by law enforcement or government agencies
- Extended periods of inactivity
12.3 Effect of Termination
Upon termination, your right to use our services ceases immediately. We may delete your account data after a reasonable period. Sections of these Terms that by their nature should survive termination will remain in effect.
Dispute Resolution

Before filing any formal dispute, you agree to first contact us at contact@leadmarketingstrategies.com to attempt to resolve the matter informally within 30 days.
13.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
13.3 Arbitration
Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in New York, NY.
13.4 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any Service Agreements, constitute the entire agreement between you and Lead Marketing Strategies regarding our services.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
14.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
14.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or infrastructure failures.
